    Ahmed Hashim is a member of AMJ’s corporate and commercial transactions team. He is highly regarded by clients and peers alike for his in-depth knowledge of Omani corporate and commercial law as well as excellent government relations gained over 33 years of practice in the jurisdiction.

    Ahmed has extensive experience advising international and regional corporate and institutional clients on a mix of public and private company formation, corporate transactions, capital markets, mergers and acquisitions, private equity, securitisation, corporate governance and joint ventures. Ahmed has been closely involved in many of Oman’s major infrastructure, privatizations and power and water projects developing a niche expertise in the rapidly evolving regulatory framework. His legal expertise combined with supreme fluency in Arabic and English make Ahmed the go-to lawyer for interpretation of laws and government regulatory and executory requirements for all types of transactions.

    In addition, Ahmed Hashim has been acting as a legal advisor and assisting a number of closed and public joint stock companies in  convening general meetings of the shareholders, including but not limited to, reviewing and approving agenda of AGM, EGM & Board of Directors and ensure that invitation procedures in accordance with the Commercial Companies Law, Capital Market Authority Law and the company’s articles of association, attending the General Meetings / Board Meetings and reviewing minutes of general meetings/board meetings,  filing minutes of General Meetings with the MOCIIP / CMA.

  • Acting as legal advisor for a number of public and closed joint stock companies in AGMs/EGMs, these being Al Batinah Power Company SAOG, Al Suwadi Power Company SAOG, SMN Power Holding SAOG, SMN Barka Power Company SAOC, Al Rusail Power Company SAOC, Phoenix Power Company SAOG, Sohar Power Company SAOG, Muscat Finance SAOG, Renaissance Services SAOG, Tabreed Oman SAOC, Oman Cement Company SAOG, Oman Housing Bank SAOC, Oman Reinsurance Company SAOC, National Hospitality Institute SAOC, Halcyon Capital Holding Company SAOC, Arabia Falcon Insurance Company SAOG.
  • Advised Dhofar Generating Company on its IPO and conversion to a joint stock company and listing on Muscat Securities Market
  • Advised Muscat Finance Co. SAOG on their proposed issue of Unsecured Non‐Convertible Subordinated Bonds on a Private Placement basis, at an issue price of RO 1 per Bond, aggregating up to OMR 10 million.
  • Advised Majid Al Futtaim on several share transfers and their participation in the Al Irfan Project.
  • Acting for Muscat City Desalination Company SAOC, National Life and General Insurance Company SAOC, Arabia Falcon Insurance Company in relation to conducting its Extra-Ordinary General Meeting on the conversion of these companies from being closed joint stock companies to public joint stock companies, Acted for Sharqiyah Desalination Company SAOC in connection with its initial public offering of shares and listing on the Muscat Securities Market.
  • Acted for the founders of SMN Power Holding SAOG in its OMR7million IPO including advising on the offer documents, amending the constitutional documents and obtaining clearances from the relevant government authorities.
  • Advised the Omani Qatari Telecommunications Company SAOC ("Nawras") and its shareholders in relation to its OMR26 million IPO of shares for listing on the Muscat Securities Market.
  • Acted for Suez GDF in connection with its public offering of 35% of the issued share capital of Rusail Power Co SAOC and SMN Power Company SAOC.
  • Advised Al Madina Investment, the arrangers on Oman’s first corporate sukuk issuance offering in the sum of OMR50 million ($130million) through a private placement by Tilal Development to expand it’s retail developments and it’s finance debt repayment;
  • Advised the promoters of Al Izz Islamic Bank in the OMR100 million greenfield IPO of Oman’s second Islamic bank, with OMR 40 million being raised from the public.
  • Represented Oman’s National Gas Co. SAOG in its maiden cross-border acquisition transaction, involving the purchase of Shell Malaysia’s natural gas distribution business in Malaysia.
