    Ch. Muhammad Ali is an associate in the Commercial & Capital Markets Team and has a broad range of experience with mergers and acquisitions, corporate and commercial matters with a particular focus on mergers and de-mergers.

    During his time with the firm, Ali has advised clients on corporate and commercial matters, banking documentation, due diligence, contractual obligations, personal data protection, consumer protection, and telecommunication.

    Prior to joining AMJ in 2023, Ali practiced in Cornelius, Lane and Mufti, a major/ leading law firm in Pakistan, where he routinely corporate clients in connection with restructuring, corporate and commercial issues, compliances, and matters.

    He has also been attending Pakistan College of Law, as Lecturer of Commercial Law for the University of London, International Programme since August 2015.

  • Representatives transactions with AMJ include:
  • Advising a bank on revision of its banking documentation including but not limited to trade finance, corporate banking, retail banking and consumer banking in the context of Omani laws including but not limited to Financial Consumer Protection Regulatory Framework, Consumer Protection Laws, Data Protection Laws, Banking Laws and Bankruptcy Laws.
  • Currently undertaking a Omani law due diligence for an initial public offering of a state owned oil & gas company.
  • Currently advising as Omani legal counsel in conjunction with international legal counsel on group-wide due diligence being conducted with respect to a group of companies engaged in the provision of private health facilities to customers in the GCC.
  • Drafted a comprehensive related party policy covering various best practices as well as applicable Omani laws to limited liability and closed joint stock companies.
  • Advised a public joint stock company, a limited liability company and a company with government shareholding on related party transactions and compliance with related party laws of Oman.
  • Assisted with the conduct of a due diligence conducted in connection with a company’s proposed subscription of new shares in a company for a hyperscale blockchain data facility (bitcoin mining project).
  • Advised a connectivity reseller on on the legal and regulatory framework applicable to it in context of telecommunication laws in Oman.
  • Advised various clients on matters related to contractual obligations, enforceability of contracts, contractual disputes and relevant consequences.
  • Advised various clients on matters relating to Data Protection laws of Oman.
  • Representative transactions prior to joining AMJ include:
  • Advised a large conglomerate with respect to restructuring of a group of companies with assets worth approximately PKR 70 billion. Restructuring included but was not limited to shares, assets, and properties (including intellectual property). Successful completion of transaction was marked with sanction of the scheme of arrangements with final phase of the project marked with a reported judgement by the Honorable Lahore High Court, cited as 2020 CLD 1128 / PLD 2020 Lahore 869.
  • Advised a company operating educational institutions across Pakistan with a revenue of approximately $38 million on corporate restructuring of by carving out the business of the undertaking from other assets.
  • Advised transferor and transferee companies in a reverse merger of an unlisted company into a listed company. Additionally advised on and successfully reversed listed company’s resolution for voluntary winding-up, upon sanction of scheme of arrangement for merger/amalgamation with the unlisted company.
  • Acted as legal counsel for and advised a national insurance company in relation to defending a claim of insurance of USD 800,000/- against export credit insurance policies.
  • Advised the Lender in respect of providing financing to a company operating radio stations in Pakistan for the purpose of expansion of its radio network.
  • Reviewed and advised client on turnkey project for its factory to be constructed at the industrial estate in Lahore.
  • Routinely advised multiple corporate clients on regulatory compliances, corporate and commercial matters, intellectual property, educational and labour laws related issues and disputes.
